We offer Alberta incorporations because Alberta offers some of the lowest tax rates in Canada. There is no provincial sales tax, and many filing fees are lower than elsewhere in Canada. Alberta has paid off its provincial debt so it is unlikely any other province will be able to offer a more competitive tax environment. The main downside to Alberta is that at least one quarter of the corporation's directors must be Canadian residents.

6 Easy Steps to Incorporating in Alberta: 

1 Choose three alternate names for the corporation with first, second and third choices.  The proposed name will need a valid NUANS search before the corporation can be filed. Unique names are more likely to be approved. Common or popular words are often rejected. Please make it easier on yourself and choose a more distinctive name.

Note:  You may choose a numbered company for faster results and change to a named company later.  The Government automatically issues the numbers.

2 Choose the legal ending  for your company to be either: Limited (Ltd.), Corporation (Corp.) or Incorporated (Inc.).
3 Supply the full names and street addresses of the directors,  officers and shareholders, and indicate (yes/no) which of the directors are Canadian resident.
4 Provide the Alberta street address for the corporation's registered office. Post office box numbers are not allowed. If you don't have an address in Alberta, we can arrange for a corporate agent, with offices in Calgary or Edmonton, to act as registered office for your corporation. The agent charges approximately $85 a year plus applicable tax for this service. This cost is separate from the base incorporation cost below. 
5 Decide upon a simple or complex share structure with common or preferred shares (Class "A" or "B" shares). We can help you select the share structure that is best for your situation. Do note, however, that the shareholders of a corporation can consent to change the corporation's share structure at almost any time in the future, at a cost in legal fees and government filing fees, in most cases, of only a few hundred dollars (more if the changes are complex).
6 Lastly, confirm with us that you wish to go ahead with  your incorporation.

Attention Residents of the US:

For residents of the United States who will be carrying business in Canada, ask us about forming an Alberta unlimited liability corporation (ULC). The incorporation process is the same, but the resulting corporation will have unlimited liability (instead of the usual limited liability a corporation gives). An Alberta ULC can have tax benefits where circumstances merit using them. The ULC costs an additional $200 CAD plus applicable tax.
