If you reside outside of Canada and you are thinking of registering an LLP (limited liability partnership) in Canada, this is the package for you. British Columbia is an excellent choice choice for a flow-through corporate structure because it has strong limited liability protection for shareholders.  In BC, any type of business can use an LLP structure. For LLP's with foreign partners, there is usually no tax payable in Canada, and there is no complicated tax compliance such as the dreaded FATCA tax reporting requirements now enacted in the United States and applicable to Delaware LLCs.

5 Steps to Registering an LLP in British Columbia:

  1. Proposed LLP name: Before forming an LLP in BC, a name reservation must first be obtained. During most times of the year, expect about a six to eight business day turnaround from the examination department. Approvals are valid for 56 days, and can be renewed if they expire (at further cost). BC allows submission of up to three alternate names for the LLP, as first, second and third choices. The name examiner stops at the first name available. A three-element name format is usually the safest choice, especially in BC: distinctive element / descriptive element / legal ending; such as Smith Enterprises LLP. Names with unique first elements are more likely to be approved. Common or popular words are often rejected.
  2. Parties: LLPs require two or more partners which are usually non-Canadian corporations. Feel free to contact INC Business Lawyers to discuss what corporate structure best suits your purposes.  Existing or new corporations can be used.  You must supply the full name (first, middle, last -- just as printed in a person's birth certificate or valid drivers licence or passport) and full street address (not post office box) of the directors of the underlying corporate partners who will own the BC LLP.  BC LLPs do not require that the directors be resident in Canada. 
  3. Partnership structure: Decide who the partners will be, and their share of the profits. Decide what capital contributions each partner will make.  Decide what cash flows each partner will be entitled to receive.  We can help you select the best choices for your initial circumstances.
  4. Registered office location: Provide the street address in British Columbia for the company's registered office. Post office box numbers are not allowed. We can act as registered office for the LLP, for a fee of $295 a year, plus applicable taxes and government filing fees. Please tell us you need this service when you order your BC LLP.
  5. Go-ahead: Lastly, confirm with us that you wish to go ahead with your LLP.

How long will it take to register an LLP in BC?

Getting a named BC LLP registered to the point of existence usually takes three to five weeks once we receive complete instructions.  After its creation date, in most cases to the Vancouver area of British Columbia, expect to receive the original registration documents from the Corporate Registry in Victoria, BC, about two to four weeks later. Those documents will be needed to open the BC LLP bank account.
